(Reuters) -HR software provider Dayforce said on Thursday buyout firm Thoma Bravo will take it private in a $12.3 billion deal, including debt. The offer represents a premium of 32.4% based on the stock's closing price on August 15, when news of the deal talks was first reported.

Dayforce has agreed to be acquired by private-equity firm Thoma Bravo in a deal that values the provider of human-resources software at around $11.2 billion.
